1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of HappyHorse AI Video Generator and related services available at https://happyhorse.llc (the "Service").

By creating an account, purchasing credits or subscriptions, uploading content, or otherwise accessing or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

2. Eligibility and Account Responsibilities

To use the Service, you must:

Be legally able to enter into a binding agreement
Provide accurate and complete account information
Keep your login credentials secure
Be responsible for activity that occurs under your account

You must notify us promptly if you suspect unauthorized access, credential compromise, or account misuse.

3. Service Description

HappyHorse provides AI-powered creation workflows, including text-to-video, image-to-video, video transformation, uploads, account features, billing, credits, subscriptions, and related tools.

We may add, remove, modify, suspend, or discontinue features, models, limits, or integrations at any time.

4. Acceptable Use and User Conduct

You may not use the Service in a way that:

Violates applicable law or regulation
Infringes intellectual property, privacy, publicity, or other rights
Harasses, abuses, threatens, exploits, or defrauds others
Attempts to bypass moderation, safety, rate limits, or access controls
Interferes with or disrupts the Service
Uses the Service to create prohibited content under our Acceptable Use Policy

We may monitor, block, suspend, restrict, or terminate access where necessary to enforce these Terms or protect the Service.

5. User Content

You are responsible for prompts, uploads, inputs, instructions, and other content you submit to the Service, as well as how you use generated outputs.

You represent and warrant that:

You have the necessary rights, permissions, and lawful basis to submit your content
Your content and use of the Service do not violate law or third-party rights
Your content does not violate these Terms or our Acceptable Use Policy

You retain rights in your original inputs to the extent allowed by law. Model outputs may not be unique and similar outputs may be generated for other users.

6. Intellectual Property

The Service, including software, interface design, branding, workflows, documentation, and other platform materials, is owned by HappyHorse or its licensors and is protected by law.

Except for the limited rights expressly granted in these Terms, no ownership rights are transferred to you.

7. Paid Features, Credits, and Subscriptions

Some features require payment, credits, or an active subscription.

By purchasing paid access, you agree that:

Pricing, plan scope, quotas, and included credits are displayed in the Service and may change for future purchases
Subscription plans may renew automatically unless canceled
A cancellation request may take effect immediately or at the end of the current billing period, depending on plan and provider behavior shown in the Service
Credits, usage limits, and purchased entitlements are governed by the product offering displayed at checkout or in your account
Taxes, duties, chargebacks, banking fees, and similar charges are your responsibility unless required otherwise by law

8. Billing Providers

Payments may be processed by third-party providers such as Stripe, PayPal, Creem, Dodo Payments, or other supported processors. Those providers operate under their own terms and privacy policies.

We are not responsible for payment processor downtime, banking delays, or payment provider decisions outside our control.

9. Refunds and Cancellations

Refunds, credits, subscription cancellations, and payment disputes are governed by our Refund & Cancellation Policy, except where applicable law requires otherwise.

10. Availability, Beta Features, and Changes

The Service is provided on an evolving basis. We may:

Change models, prompts, system behavior, supported file types, or output quality
Add or remove limits, features, plans, and integrations
Perform maintenance or emergency security work
Suspend access temporarily or permanently

We do not guarantee uninterrupted availability or that every output will meet your expectations or intended use.

11. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service if:

You violate these Terms or our policies
Your account creates legal, security, abuse, or operational risk
We are required to do so by law or a payment provider
Fraud, abuse, chargeback misuse, or repeated policy violations are detected

You may stop using the Service at any time. If you cancel a subscription, access may continue until the end of the paid billing period when applicable.

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or reliability.

AI-generated outputs may be inaccurate, incomplete, offensive, unavailable, delayed, or unsuitable for your intended use. You are responsible for reviewing outputs before use or distribution.

13. Limitation of Liability

To the maximum extent permitted by law, HappyHorse and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising out of or relating to the Service.

Where liability cannot be excluded, our aggregate liability will be limited to the greater of:

The amount you paid to us for the Service in the 3 months before the event giving rise to the claim, or
The minimum amount required by applicable law

14. Indemnification

You agree to defend, indemnify, and hold harmless HappyHorse and its affiliates, personnel, licensors, and service providers from claims, liabilities, losses, damages, judgments, and expenses, including reasonable legal fees, arising out of or related to:

Your use of the Service
Your content
Your violation of these Terms, our policies, or applicable law
Your infringement of third-party rights
